Terms and Conditions

1.1 This agreement, including all attached or referenced schedules and appendices (if any) (the "Agreement"), is a contract between you and FoxVIP.com ("FoxVIP," "we," or "our").

2. Definitions and Interpretation

2.1 In these terms, unless the context requires otherwise, the following terms shall have the meanings set forth below:

Account: The account created and used by you to access or use the platform.

Buyer: Any purchaser of goods and/or services.

Goods and/or Services: Digital goods, products, and/or services displayed, listed, and/or offered on the platform.

FoxVIP Services: The services and features provided by FoxVIP on or through the platform from time to time.

Personal Data: The meaning as clearly defined in the privacy policy.

Privacy Policy: The personal data processing policy published by FoxVIP on the platform.

Platform: The online platform (website, mobile website, or mobile application) developed and/or operated by FoxVIP.

3. Access to the Platform

3.1 To access the platform and FoxVIP services, you must create an account with FoxVIP through the registration process. After successful registration, you can access the platform and FoxVIP services by logging into your account. FoxVIP reserves the right to conduct background checks on you and may, at its discretion, deny you access to the platform and FoxVIP services or any part thereof.

3.2 You are fully responsible for maintaining the confidentiality and security of your account username and password, and you agree to promptly notify FoxVIP of any unauthorized access to your account.

4. Use of the Platform/FoxVIP Services

4.1 In consideration of your agreement to the terms and conditions of this Agreement, FoxVIP grants you a non-exclusive, non-transferable right to access and use the platform and FoxVIP services only within the necessary scope as required by this Agreement.

4.2 Unless otherwise specified in this Agreement or with prior written consent from FoxVIP, you may not, and may not permit any third party to:

Copy, distribute, recreate, and/or disseminate the FoxVIP platform/services.

Rent, lease, sublicense, lend, translate, merge, adapt, modify, or change the FoxVIP platform/services.

Reverse assemble, reverse compile, reverse engineer, or create derivative works.

Use the FoxVIP platform/services in any illegal manner, for any illegal purpose, or in any way that is inconsistent with this Agreement.

5. Personal Information

5.1 FoxVIP will collect, store, and process your personal information in accordance with the Privacy Policy and ensure its security.

6. Confidentiality

6.1 "Confidential Information" refers to all information provided by the disclosing party or its representatives to the receiving party, whether or not marked as "confidential," including technical information, data, trade secrets, financial status, etc.

6.2 Unless otherwise specified in this Agreement, the recipient of Confidential Information agrees not to disclose such information to anyone except as required by law or permitted by this Agreement.

7. Consumer Protection

7.1 If you are a consumer transacting under the Consumer Protection Act of 1999, this Agreement will exclude or limit the remedies and rights you may have to the fullest extent permitted by that Act.

8. Warranties, Unavailability, and Disclaimers

8.1 FoxVIP warrants that it will provide the services with reasonable care and skill but does not guarantee the accuracy, reliability, or error-free nature of the services.

8.2 FoxVIP will not be liable for any indirect losses, loss of goodwill, loss of income, or other special losses.

9. Limitation of Liability

9.1 To the maximum extent permitted by law, FoxVIP will not be liable for any loss you incur due to your use of the platform or services, except where the loss is caused by FoxVIP's negligence or breach of contract.

10. Indemnification

10.1 You agree to indemnify and hold harmless FoxVIP and its affiliates from any costs, losses, damages, or legal liabilities arising from your actions or breach of this Agreement.

11. Force Majeure

11.1 FoxVIP shall not be responsible for any delay or failure to perform caused by circumstances beyond its reasonable control, including but not limited to natural disasters, war, government action, etc.

12. FoxVIP's Rights and Suspension

12.1 FoxVIP reserves the right to suspend or terminate your access to the platform and services at any time and to delete any information you submit, particularly if it discovers that you have violated the terms of this Agreement.

13. Termination

13.1 If you breach any term of this Agreement and fail to correct it within 30 days, FoxVIP has the right to terminate this Agreement immediately.

14. Modifications

14.1 FoxVIP reserves the right to modify, add, or remove portions of this Agreement at any time, with the modified Agreement taking effect immediately upon notice.

15. Notices

15.1 Any notice should be sent through the platform, email, or other means, and will be deemed delivered upon the designated time.

16. Entire Agreement

16.1 This Agreement constitutes the entire agreement between the parties and supersedes any prior oral or written agreements.

17. Assignment, Substitution, Delegation, and Subcontracting

17.1 You may not assign any rights or obligations to any third party without the prior written consent of FoxVIP.

18. Payment Rules

18.1 The platform offers one-time payments and recurring billing services, and you may select the appropriate payment method according to your needs.

19. Non-Waiver

19.1 The failure or delay in exercising any provision of this Agreement does not constitute a waiver of any subsequent breach.

20. Successors and Assigns

20.1 This Agreement is binding upon and inures to the benefit of both parties and their legal successors and assigns.

21. Severability

21.1 If any provision of this Agreement is found to be invalid, the remaining provisions will remain in effect.

22. No Partnership/Agency

22.1 This Agreement does not constitute any form of joint venture or partnership.

23. Governing Law

23.1 This Agreement shall be governed by and construed in accordance with the laws of Hong Kong.
